Acceptance of Terms
By downloading, installing, or using Velvet (the “Service”), you agree to these Terms of Service. If you do not agree, do not install or use the application.
Description of Service
Velvet is a desktop application providing push-to-talk voice transcription with AI-powered text editing for Windows and macOS. It is offered in Free and Pro tiers.
Account Registration
Certain features require an account. You must provide a valid email address and a password you keep confidential. You are responsible for all activity under your account. Accounts are personal and non-transferable.
Free Tier
- 2,000 cloud words and 2,000 local words per week transcription quota.
- Resets every Monday at 00:00 UTC.
- Basic grammar and punctuation fixes included; full editing layer is Pro-only.
- We reserve the right to adjust free-tier limits with 30 days notice to existing users.
Pro Subscription
- $10/month (monthly) or $96/year (billed annually, 20% saving).
- Unlimited transcription, full AI editing, per-app styles, dictionary, snippets, and cross-device history sync.
- Payments are processed securely via PayPal.
- VAT / sales tax is added where required.
- Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal.
- Cancel any time; access continues until the end of the current billing period.
- 30-day no-questions-asked refund on any single Pro payment.
- We may change fees on renewal with reasonable notice; you may cancel before the new fee takes effect.
License Keys
Pro subscriptions include a license key that activates the desktop application. License keys are personal and non-transferable. Selling, sharing, or redistributing license keys is grounds for immediate termination.
Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the software except as permitted by law.
- Share, sell, or redistribute license keys.
- Use the Service for any illegal purpose or in violation of third-party rights.
- Attempt to circumvent quotas, rate limits, or security controls.
- Abuse the transcription API via automated or headless systems.
- Use the Service to create content that is defamatory, harassing, or unlawful.
Intellectual Property
Velvet, its logos, trademarks, and all software components are the property of GasDigital Ltd. and its licensors. Your transcribed content is yours — we claim no ownership over text produced by the Service.
Disclaimer of Warranties
The Service is provided “as is” and “as available”, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI outputs and transcription accuracy. The Service uses artificial intelligence and large language models to generate and edit text. We do not guarantee 100% transcription accuracy, factual correctness, or that the AI editing layer will always preserve your intended meaning. Outputs may contain errors, omissions, or inaccuracies even if they appear plausible. You should not rely on any Output without independently confirming its accuracy, especially for legal, medical, financial, or safety-critical purposes. Velvet is not liable for any consequences arising from inaccurate or inappropriate AI-generated content.
We do not guarantee uninterrupted operation, error-free service, or that the Service will meet your specific requirements. Always review important text before sending.
Limitation of Liability
To the maximum extent permitted by law, GasDigital Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising from your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.
Termination
We may suspend or terminate your account if you materially breach these Terms. You may delete your account at any time from the Dashboard. Upon termination, license keys are deactivated and account data is deleted within 30 days (backups within 90 days).
Governing Law
These Terms are governed by the laws of England & Wales. Any disputes shall be resolved in the courts of London, UK. Consumers in the EU retain any rights under their local law that cannot be waived by contract.
Dispute resolution
Before filing any formal legal claim, you agree to attempt to resolve the dispute informally by contacting us. We will respond within 14 business days and attempt to resolve the matter in good faith.
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England & Wales, unless you are a consumer residing in the EU or another jurisdiction with mandatory local consumer protection laws, in which case you may bring proceedings in your home jurisdiction.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction for matters relating to intellectual property rights or confidentiality.
Indemnification
You agree to indemnify, defend, and hold harmless GasDigital Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Service.
- Your violation of these Terms.
- Your violation of any third-party right, including intellectual property or privacy rights.
- Any content you create, transmit, or paste using the Service.
This indemnification obligation will survive termination of your account and these Terms.
Force majeure
GasDigital Ltd. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: power or internet outages, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labour, or materials, or failures of third-party service providers.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of the remaining provisions. We will replace the invalid provision with a valid provision that most closely matches the intent of the original.
Changes to Terms
We may modify these Terms. Material changes are communicated by email to registered users at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Service.
